Fitch warns of reputational risk of opening funds to retail investors
The rise of regulated, long-term alternative funds giving retail investors access to private markets could expose managers and brokers to reputational and litigation risks, Fitch Ratings has warned.
European brokers and traditional investment managers are rapidly expanding access to alternative assets, including private credit, as regulatory changes allow retail investors to participate in strategies that were previously reserved for institutional clients.
In Europe, retail investors have been gaining market access through the EU’s European long-term investment funds (ELTIF 2.0) and the UK’s long-term investment funds (LTAF) regime, which lower minimum investment commitments., said Fitch.

These offerings are increasingly structured to provide a degree of liquidity. However, Fitch warned that semi-liquid products with secondary sales and quarterly redemptions may mask valuation and liquidity risks for retail clients.
“Despite typically comprehensive disclosure requirements, retail investors may not fully appreciate these factors, which could lead to heightened reputational and litigation risks and increased regulatory intervention if redemptions are delayed or valuations significantly discounted,” Fitch said.

Industry bodies have also flagged that misaligned incentives can skew deal selection and resource allocation. Fitch noted that potential risks arise when managers operate retail evergreen vehicles alongside institutional closed-end funds.
“Risks also rise if new retail-targeted funds include assets sourced from secondary sales that resemble continuation vehicles, where pricing, alignment, and exit routes may be less clear for new retail investors,” Fitch added.
Currently, modest market penetration limits exposure and risk, but Fitch warned that both could grow swiftly as retail access expands.
